Standard terms governing corporate IT consulting, software engineering deliverables, and technical procurement engagements.
These Terms of Service ("Terms") govern the professional commercial engagement between CV. AdFaz Prosperous Indonesia ("AdFaz Media", "we", "our") and the corporate client or individual purchaser ("Client") for the provision of enterprise software development, IT network cabling, cloud management, and hardware procurement. By endorsing an approved Quotation, Purchase Order, or Master Services Agreement (MSA), the Client agrees to be bound by these Terms.
All technical deliverables are governed by an approved Statement of Work or commercial quote outlining milestones, timelines, and technical acceptance criteria. Any alteration or expansion of work beyond the baseline specifications shall be processed through a formal written Change Request outlining supplementary fees and schedule adjustments.
Unless otherwise specified in a bilateral agreement:
Remittances shall be made to the designated corporate bank accounts of CV. AdFaz Prosperous Indonesia according to invoice milestone schedules. We furnish official tax invoices (Faktur Pajak) compliant with Indonesian fiscal statutes (VAT/PPN). Overdue invoices may trigger temporary suspension of deployment activities or staging server access until balances are cleared.
AdFaz Media extends a standard 3-month post-handover warranty covering correction of functional bugs and code defects directly attributable to approved project specifications. This warranty does not encompass system disruptions caused by unauthorized third-party modifications, external cybersecurity credential compromises, or upstream telecommunications outages.
To the maximum extent permitted by law, AdFaz Media's aggregate financial liability for any claim arising from or related to an engagement shall not exceed the total services fee actually collected by AdFaz Media for that specific project. Neither party shall be deemed in breach for delays caused by Force Majeure events beyond reasonable control, including natural disasters, utility grid blackouts, or government emergency directives.
These Terms are governed by and construed under the laws of the Republic of Indonesia. The parties agree to resolve any dispute through amicable good-faith consultations. Should a dispute remain unresolved after 30 calendar days, it shall be submitted to the exclusive jurisdiction of the District Court holding authority over the legal domicile of CV. AdFaz Prosperous Indonesia.
